1. Acceptance of these terms

These Terms & Conditions (“Terms”) are an agreement between you and OTR Logistics Solutions, an Ontario, Canada corporation (“OTR,” “we,” “us,” or “our”), concerning the Exact-A-Track website. By accessing or using the website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website.

You must be at least 18 years old and legally able to enter into these Terms.

2. Website purpose

The website provides information about Exact-A-Track, a purpose-built freight-stabilization positioning product only for dry van and refrigerated trailers equipped with compatible E-track installed vertically. The product mounts directly into that E-track. The website also provides product education, compatibility questions, safety resources, links to Shopify purchasing, and inquiry forms.

The website does not provide legal, engineering, regulatory, safety, or professional cargo-securement advice and does not certify any trailer, cargo, device, or securement arrangement.

3. Product compatibility and safe use

Exact-A-Track is designed only for trailers equipped with compatible E-track installed vertically and mounts directly into that E-track. A trailer without compatible vertically installed E-track is not compatible. Exact-A-Track is not represented as compatible with every trailer, horizontal E-track installation, L-track, rail, fitting, load bar, strap, cargo type, or operating procedure.

Before purchasing or using a product, you are responsible for confirming trailer, post, interface, spacing, equipment, and intended-use compatibility. Follow current product and equipment instructions, carrier procedures, inspection requirements, and all applicable cargo-securement laws and standards. Exact-A-Track is one component in a complete cargo-control arrangement and is not a replacement for required securement equipment or procedures.

Do not infer a working-load limit, tested rating, certification, regulatory approval, material specification, warranty, or performance result unless it appears in current approved documentation supplied for that exact product.

4. Product information and availability

We try to keep website information accurate and useful, but product details, images, pricing, availability, shipping, returns, and other terms may change. Information identified as pending documentation is not a confirmed specification.

Verify current product options and transaction terms on Shopify before ordering. A website description or demonstration is an overview and does not modify product instructions, create a performance guarantee, or establish compatibility with your equipment.

5. Purchases and third-party services

Purchases are completed through a linked Shopify storefront, not directly on this website. Shopify and the applicable storefront or checkout terms govern order processing, payment, taxes, shipping, cancellations, and returns. Review those terms before completing a purchase.

Links to Replit, Shopify, regulatory sources, manufacturers, and other third parties are provided for convenience or source context. We do not control and are not responsible for third-party sites, services, availability, content, security, or policies.

6. Inquiry forms and communications

The fleet and contact forms send the information you submit to our team by email. An automated success message confirms delivery to our email service, but does not mean we accepted an order, provided a quote, or agreed to do business. To contact us directly, email info@exactatrack.com.

7. Acceptable use

You may use the website only for lawful purposes. You must not:

• Interfere with the website, its security, or another person’s use.
• Introduce malicious code, attempt unauthorized access, or probe for vulnerabilities without written authorization.
• Use automated means to overload, scrape, or extract the website in a way that violates applicable law or these Terms.
• Misrepresent your identity, affiliation, product compatibility, certification, or relationship with OTR or Exact-A-Track.
• Copy or use website content in a manner that infringes intellectual-property rights.

8. Intellectual property

The website, Exact-A-Track branding, text, graphics, images, video, design, and other content are owned by OTR or used with permission and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive right to access the website for your own lawful business evaluation and purchasing activities. No other rights are granted.

9. Disclaimers

To the fullest extent permitted by law, the website and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or collateral. We do not warrant that the website will always be available, error-free, secure, or suitable for a particular trailer, load, equipment configuration, or purpose.

Nothing in these Terms excludes warranties, guarantees, remedies, or other rights that cannot lawfully be excluded under applicable consumer-protection or other law.

10. Limitation of liability

To the fullest extent permitted by law, OTR and its directors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business, or opportunities arising from use of or inability to use the website.

To the fullest extent permitted by law, OTR’s aggregate liability arising from the website or these Terms will not exceed the greater of CAD $100 or the amount you paid directly to OTR through this website during the 12 months before the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be limited.

11. Suspension and termination

We may restrict or suspend access to the website where reasonably necessary to protect the website, users, OTR, third parties, or legal compliance. You may stop using the website at any time. Provisions that by their nature should survive will remain in effect, including intellectual property, disclaimers, liability limitations, and governing law.

12. Changes

We may update the website and these Terms. Revised Terms take effect when posted with an updated effective date, unless a later date is stated. If a material change affects your use, we will provide reasonable notice where appropriate. Continued use after the effective date means you accept the revised Terms.

13. Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to rights that cannot lawfully be waived, the courts located in Ontario will have exclusive jurisdiction over disputes arising from the website or these Terms.

14. General provisions

If any provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement concerning use of this website and replace prior website-use terms on the same subject.
